Wholesale Distribution: Goodwill impairment testing
Verbatim excerpt (158 words), formatting simplified. View full filing on EDGAR →We have recorded, and may be required to record, a significant charge to earnings in our consolidated financial statements during the period in which any impairment of our goodwill or long-lived assets is determined. Any such charge could have a material adverse impact on our results of operations. For example, we continued to experience a weakening in demand for specialized services in the life sciences industry, which has negatively impacted the operating results of PharmaLex. In the fourth quarter of fiscal 2025 and in connection with the Company’s annual budgeting process, the Company revised PharmaLex’s long-range forecast. In connection with the Company’s annual goodwill impairment assessment, it recorded a full impairment of the remaining goodwill of $723.9 million in the PharmaLex reporting unit.
Exclusive forum provisions in our amended and restated bylaws ( “ Bylaws ” ) could limit our stockholders’ ability to choose their preferred judicial forum for disputes with us or our directors, officers, or employees.
